CheezySign is a technology platform, not a law firm. Nothing in this document constitutes legal advice. The legal validity and enforceability of any electronic signature depends on the applicable law of the jurisdiction in which the signed document is to be enforced, the nature of the underlying transaction, and the specific circumstances of execution.
Electronic signatures executed through CheezySign are generally recognized as legally binding under applicable electronic signature laws, including U.S. federal law (such as the ESIGN Act) and similar frameworks in other jurisdictions. However, legal validity may vary depending on document type, jurisdiction, and specific circumstances. Users are solely responsible for ensuring that electronic signatures are valid and enforceable for their specific document type and jurisdiction.
CheezySign does not provide legal advice. Consult a licensed attorney before relying on any electronic signature for legally significant transactions.
SECTION 1 – GEOGRAPHIC SCOPE AND INTENDED USE
1.1 Intended Market
CheezySign’s electronic signature service is intended exclusively for U.S. business use. This platform is designed for compliance with U.S. electronic signature law and is primarily directed at users conducting business transactions governed by U.S. federal and state law.
1.2 Not Designed for eIDAS
This platform is not designed for eIDAS compliance and does not provide or claim to provide Simple, Advanced, or Qualified Electronic Signatures as defined under EU Regulation No 910/2014 (eIDAS) or any equivalent international standard. CheezySign makes no representation that its signatures meet the requirements of any specific international electronic signature framework.
1.3 Users Outside the United States
Users outside the United States who choose to use CheezySign’s signature features do so at their own initiative and sole responsibility. CheezySign bears no liability for the legal validity or enforceability of signatures under any non-U.S. legal framework.
SECTION 2 – LEGAL FRAMEWORK
2.1 U.S. ESIGN Act
The Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. § 7001 et seq.) establishes that electronic signatures have the same legal effect as handwritten signatures for covered commercial transactions, provided that:
- The parties have agreed to conduct the transaction electronically
- The electronic signature is associated with the record being signed
- The signer demonstrates clear intent to sign
- The record is retained and reproducible
2.2 UETA
The Uniform Electronic Transactions Act (UETA), adopted in 49 U.S. states and the District of Columbia, similarly recognizes the legal validity of electronic signatures and records for covered transactions.
2.3 Statute of Frauds
Electronic signatures through CheezySign are designed to satisfy the “signed writing” requirement under the Statute of Frauds for transactions covered by the ESIGN Act. Certain transactions may be subject to Statute of Frauds requirements in specific jurisdictions not satisfied by electronic signature alone. Users are solely responsible for determining whether their specific transaction satisfies all applicable writing and signature requirements.
2.4 International Frameworks
The Platform is designed exclusively for U.S. electronic signature law compliance. CheezySign does not represent that its signatures comply with any international electronic signature framework, including EU eIDAS, UK electronic signature law, or any equivalent standard. Users outside the United States who access the Service do so entirely at their own initiative.
SECTION 3 – DOCUMENTS NOT ELIGIBLE FOR ELECTRONIC SIGNATURES
Certain documents may not be eligible for electronic signatures under applicable law, or may require additional formalities such as witnesses, notarization, or apostille certification.
Category A – Generally Excluded Under U.S. ESIGN Act
- Wills, codicils, and testamentary trusts
- Adoption and termination of parental rights documents
- Divorce decrees and related family law orders
- Court orders and judicial documents
- Notices of cancellation of utility services
- Notices of default, acceleration, or repossession on primary residence
- Health insurance termination notices
- Product recall notices affecting health or safety
Category B – May Require Additional Formalities
- Powers of attorney
- Real estate deeds and transfers
- Living wills and healthcare directives
- Advance medical directives
- Apostille-required documents
- Documents requiring notarization by applicable state law
- Documents requiring witness signatures
- UCC Article 3 negotiable instruments
- Certain consumer credit agreements
- Immigration-related documents
- Documents filed with government agencies
- Insurance contracts in certain jurisdictions
Category C – International Restrictions
- Documents subject to laws of countries not recognizing electronic signatures
- Documents requiring wet ink signature under applicable foreign law

SECTION 5 – WHAT CHEEZYSIGN SIGNATURES ARE AND ARE NOT
5.1 What CheezySign Signatures ARE
SECURED WITH ENTERPRISE-GRADE ENCRYPTION All signature data is protected by:
- TLS 1.3 with AES-256-GCM encryption for all data in transit
- Forward Secrecy ensuring past sessions cannot be decrypted
- SSL Labs Grade A rated server security
- Tamper-resistant document storage
- Secure, immutable audit trail records
ESIGN ACT DESIGNED (U.S.) The platform is designed to meet the requirements of the U.S. ESIGN Act and UETA for covered commercial transactions within the United States.
AUDIT-TRAILED Every signature is accompanied by a comprehensive, tamper-resistant audit trail including:
- Signer’s email address
- Date and time of signing (UTC timestamp)
- IP address at time of signing
- Signature level selected
- Document identifier and version
- SMS authentication confirmation (Advanced and Legal levels)
- Express intent and explicit consent confirmation (Legal level)
- Document integrity hash (Legal level)
INTENT-VERIFIED CheezySign captures and records the signer’s affirmative intent to sign, satisfying the intent requirement of the ESIGN Act.
GENERALLY RECOGNIZED Electronic signatures executed through the Platform are generally recognized as legally binding under the ESIGN Act and similar frameworks for eligible document types.
5.2 What CheezySign Signatures Are NOT
NOT CERTIFIED Not authenticated or certified by a third-party Certificate Authority (CA).
NOT PKI-BASED Do not use Public Key Infrastructure cryptography. No private/public key pair is generated.
NOT QUALIFIED ELECTRONIC SIGNATURES (QES) Do not constitute QES under EU eIDAS Regulation (No 910/2014) or any equivalent international standard.
NOT NOTARIZED Not notarized or certified by any government authority.
NOT GUARANTEED VALID OUTSIDE THE UNITED STATES CheezySign makes no representation that its signatures are legally valid under the laws of any jurisdiction outside the United States.

SECTION 6 – SIGNATURE LEVEL 1: BASIC eSIGNATURE
6.1 Description
The Basic eSignature is the entry-level option, using email address as the sole method of signer identification. It confirms that someone with access to the recipient’s email address opened and signed the proposal.
6.2 Verification Method
Email Only The signer receives the proposal at the delivery email address and affixes a signature through the Platform. No additional identity verification is required.
6.3 Audit Trail Recorded
- Signer’s email address
- Date and time of signing (UTC timestamp)
- IP address at time of signing
- Document identifier and version
- Signature level: Basic
6.4 Encryption
All Basic eSignature data is transmitted using TLS 1.3 with AES-256-GCM encryption and stored with tamper-resistant protection on a dedicated private server with SSL Labs Grade A rating.
6.5 Legal Consideration
The Basic eSignature is designed to satisfy minimum requirements for an electronic signature under the U.S. ESIGN Act for routine commercial transactions. However:
- It provides email access verification only – not real-world identity verification
- It may not be sufficient for high-value contracts, real estate, healthcare agreements, or financial instruments
- It is not equivalent to a notarized, certified, or PKI-authenticated signature
- Legal validity may vary by jurisdiction and document type
- CheezySign does not warrant acceptability by any court or authority for any specific transaction
6.6 Recommended Use Cases
- Routine business proposals and service agreements
- Freelance project approvals
- Low to medium value commercial agreements
- Situations where parties know each other and identity is not in question
6.7 Not Recommended For
- High-value contracts where identity verification is critical
- Transactions with unknown counterparties
- Any document type listed in Section 3
- Transactions where applicable law requires stronger authentication
6.8 Availability
Available on Free Plan and Pro Plan.
6.9 User Acknowledgment
By selecting Basic eSignature, you acknowledge that you have independently determined it is legally sufficient for your intended use and that CheezySign bears no liability for legal insufficiency for your specific transaction.
SECTION 7 – SIGNATURE LEVEL 2: ADVANCED eSIGNATURE
7.1 Description
The Advanced eSignature provides enhanced identity verification through two-factor authentication combining email delivery with SMS verification. It confirms that the signer had access to both the recipient email address and a specific phone number at the time of signing.
7.2 Verification Method
Email + SMS Two-Factor Authentication (2FA) The signer receives the proposal at their email address and must verify identity by entering a one-time passcode (OTP) sent to a mobile phone number via SMS before the signature is accepted.
7.3 Audit Trail Recorded
- Signer’s email address
- Mobile phone number used for 2FA
- Date and time of signing (UTC timestamp)
- IP address at time of signing
- Confirmation of successful 2FA authentication
- Document identifier and version
- Signature level: Advanced
7.4 Encryption
All Advanced eSignature data is transmitted using TLS 1.3 with AES-256-GCM encryption with Forward Secrecy, stored with tamper-resistant protection on a dedicated private server achieving SSL Labs Grade A rating.
7.5 Legal Consideration
The Advanced eSignature provides a higher degree of identity assurance than the Basic level and is appropriate for a broader range of commercial transactions. However:
- It confirms email access and phone access only – not real-world identity
It is not designed for and does not satisfy any requirements under EU eIDAS or any equivalent international framework
- It does not use certificate-based cryptographic authentication
- Legal validity may vary by jurisdiction and document type
- CheezySign does not warrant legal sufficiency for any specific transaction outside the United States
7.6 Recommended Use Cases
- Higher-value business contracts
- Multi-party agreements
- Situations where email-only verification is insufficient
- Agreements with parties not previously transacted with
7.7 Not Recommended For
- Transactions requiring certified or notarized signatures
- Any document type listed in Section 3
- EU transactions requiring QES under eIDAS
- Transactions where PKI-based authentication is legally required
7.8 Availability

7.9 User Acknowledgment
By selecting Advanced eSignature, you acknowledge that you are responsible for obtaining accurate phone contact information for all signers, that CheezySign is not responsible for SMS delivery failures, and that CheezySign bears no liability for legal insufficiency for your specific transaction.
SECTION 8 – SIGNATURE LEVEL 3: LEGAL / ESIGN SIGNATURE
8.1 Description
The Legal/ESIGN Signature is CheezySign’s highest signature level, incorporating all Advanced eSignature elements plus explicit consent recording and express intent confirmation, designed to meet the evidentiary and procedural requirements of the U.S. ESIGN Act and UETA.
8.2 Verification Method
Email + SMS (2FA) + Explicit Consent + Express Intent
- Signer receives proposal at email address
- Signer completes SMS two-factor authentication
- Signer is presented with a clear, conspicuous disclosure confirming they are executing a legally binding electronic signature, in compliance with ESIGN Act Section 101(c) consumer disclosure requirements
- Signer must affirmatively indicate express intent to sign the specific document
8.3 Audit Trail Recorded
- Signer’s full name and email address
- Mobile phone number used for 2FA
- Date and time of signing (UTC timestamp)
- IP address at time of signing
- Confirmation of successful 2FA authentication
- Confirmed record of explicit consent to electronic signature and transaction
- Confirmed record of signer’s express intent to sign
- Document identifier, version, and integrity hash
- Signature level: Legal/ESIGN
8.4 Encryption
All Legal/ESIGN Signature data is transmitted using TLS 1.3 with AES-256-GCM encryption with Forward Secrecy, stored with tamper-resistant protection and document integrity hashing on a dedicated private server achieving SSL Labs Grade A rating.
8.5 Legal Consideration
The Legal/ESIGN Signature is designed to comply with the U.S. ESIGN Act (15 U.S.C. § 7001 et seq.) and UETA for electronic signature validity in the United States. Appropriate for a wide range of commercial contracts under U.S. federal and state law.
Important limitations apply:
- CheezySign does not warrant legal validity outside the United States
- Does not constitute a notarized signature or official government document
- Not legally valid for transactions expressly excluded from ESIGN Act coverage
- Certain documents may not be eligible for electronic signatures regardless of level
- Legal validity may vary by document type, jurisdiction, and circumstances
- Confirms email access, phone access, and expressed intent – does not independently verify real-world identity
- Platform is designed to support compliance – does not certify compliance for every use case
- Not designed for eIDAS – does not meet EU electronic signature standards
8.6 Recommended Use Cases
- Significant commercial contracts and service agreements
- Transactions where maximum available audit trail is desired
- Agreements where ESIGN Act compliance is specifically required
- Higher-value proposals where documented consent adds legal comfort
8.7 Not Recommended For
- Any document type listed in Section 3
- Transactions expressly excluded from ESIGN Act or UETA
- EU transactions requiring QES under eIDAS
- Transactions requiring notarization or government certification

8.8 Availability

8.9 User Acknowledgment
By selecting Legal/ESIGN Signature, you acknowledge that you are responsible for ensuring appropriateness for your specific transaction, that CheezySign is not your legal counsel, that you will not use this level for transactions excluded from ESIGN Act coverage, and that CheezySign bears no liability for legal insufficiency for your specific transaction or jurisdiction.
SECTION 9 – AUDIT TRAIL: SCOPE AND LIMITATIONS
9.1 What the Audit Trail Provides
For every signed document, CheezySign maintains a comprehensive, tamper-resistant audit trail including all data points described in Sections 6–8, specific to the signature level used. All audit trail data is encrypted and stored on a dedicated private server with automated daily backups and 30 days of recovery history.
9.2 Audit Trail Limitations
(a) CheezySign does not guarantee that audit trail records will be accepted by any court, arbitrator, or authority as legally sufficient evidence;
(b) Provision of audit trail records is a technical service, not legal certification;
(c) CheezySign does not provide expert witness testimony regarding audit trail records;
(d) Liability for audit trail failures is subject to the Limitation of Liability in the Terms of Service;
(e) Audit trail records support dispute resolution but do not guarantee any legal outcome.
9.3 Access to Audit Trail Records
Users may access audit trail records through the platform dashboard. Upon written request to elisasi.info@gmail.com, CheezySign will provide audit trail data to assist in chargeback disputes or legal proceedings, subject to applicable law.
9.4 Audit Trail Retention
Audit trail records are retained for a minimum of seven (7) years from the date of signing, consistent with electronic signature record-keeping requirements under the ESIGN Act and applicable legal retention obligations. Users are responsible for downloading and retaining their own copies.
SECTION 10 – USER RESPONSIBILITY FOR SIGNER IDENTITY
10.1 Scope of Verification
CheezySign’s verification mechanisms confirm only:
- Email access (Basic, Advanced, Legal)
- Phone number access via SMS OTP (Advanced, Legal)
- Expressed intent to sign (Legal only)
10.2 What CheezySign Cannot Confirm
CheezySign cannot verify that the person who completed verification is:
- The intended signer
- The person they claim to be
- Of legal age or capacity
- Authorized to sign for any business entity
- Acting freely and without coercion
10.3 User’s Sole Responsibility
You are solely responsible for:
(a) Verifying signer identity to your own satisfaction;
(b) Ensuring signers are authorized to sign for any represented entity;
(c) Taking independent identity verification steps where legally required;
(d) Any claim arising from forgery, impersonation, or unauthorized signing.
CheezySign is not liable for forgery, impersonation, or identity theft despite technical safeguards.
SECTION 11 – PROHIBITED USES
You may not use CheezySign’s signature features to:
(a) Execute signatures on documents for which electronic signatures are legally prohibited;
(b) Execute signatures on sensitive personal information documents (SSN, health records) using Basic level;
(c) Forge, falsify, or misrepresent any signature or identity;
(d) Obtain signatures through fraud, coercion, or misrepresentation;
(e) Execute signatures for illegal transactions;
(f) Represent to any party that CheezySign signatures are certified, notarized, PKI-based, or eIDAS-qualified;
(g) Use signature features in jurisdictions where electronic signatures are not legally recognized for the document type in question.

SECTION 13 – LIMITATION OF LIABILITY
CheezySign’s liability for all signature-related matters is subject to the Terms of Service, Section 15. In no event shall CheezySign be liable for:
(a) Legal insufficiency of any signature for any transaction or jurisdiction;
(b) A counterparty’s refusal to accept an electronic signature;
(c) Forgery, impersonation, or unauthorized signing despite technical safeguards;
(d) Use of signatures on document types excluded from ESIGN Act coverage;
(e) Misrepresentation by a user regarding certification or qualification status of signatures;
(f) Any indirect, consequential, punitive, or special damages related to signature validity.
SECTION 14 – GOVERNING LAW
This document is governed by the laws of the State of Israel. Disputes are subject to the dispute resolution provisions in the Terms of Service, Section 22.
